IMPORTANT: BY ACCESSING OR USING EZCLAW ("SERVICE"), YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE. YOUR USE OF THE SERVICE CONSTITUTES YOUR ACCEPTANCE OF THESE TERMS AND ALL ASSOCIATED RISKS.
1 Service Description
EZClaw ("we," "us," "our," or the "Service") provides a Telegram-based bot interface that enables users to provision and manage dedicated cloud servers hosted on third-party infrastructure (Hetzner Cloud). These servers include AI capabilities and desktop environments that users may access remotely.
The Service acts solely as an intermediary platform to facilitate server provisioning. We do not own, operate, or maintain the underlying cloud infrastructure. All servers are provisioned on Hetzner Cloud's infrastructure, and we have no control over their data centers, network, or hardware.
Service Components
- Telegram bot interface for server management
- Automated provisioning of Hetzner Cloud servers
- AI assistant capabilities (powered by third-party models)
- Remote desktop access via web browser
- Subdomain allocation under ezclaw.io
- Payment processing via Stripe
2 No Warranties - Service Provided "AS IS"
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
To the fullest extent permitted by applicable law, we expressly disclaim all warranties, including but not limited to:
- No warranty of merchantability - We make no guarantee that the Service is fit for any particular purpose or meets commercial quality standards
- No warranty of fitness for a particular purpose - We make no representations that the Service will meet your specific requirements or needs
- No warranty of availability or uptime - We do not guarantee any level of service availability, uptime, or continuous operation. The Service may be unavailable at any time for any reason
- No warranty of reliability - We make no guarantee that the Service will operate error-free, uninterrupted, or that defects will be corrected
- No warranty of accuracy - We make no representations regarding the accuracy, completeness, or reliability of any AI outputs, data, or information provided through the Service
- No warranty of security - We do not warrant that the Service will be secure or free from vulnerabilities, viruses, malware, or other harmful components
- No warranty regarding third-party services - We make no warranties regarding Hetzner Cloud, Stripe, Telegram, Cloudflare, or any other third-party services upon which the Service depends
You acknowledge and agree that your use of the Service is entirely at your own risk.
3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EZCLAW, ITS OWNERS, OPERATORS, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY DAMAGES WHATSOEVER ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
We Are NOT Liable For:
- Server Downtime or Outages: Any unavailability, interruption, or failure of your provisioned server or the Service itself, regardless of cause or duration
- Data Loss: Any and all loss of data, files, configurations, or information stored on provisioned servers, including but not limited to loss caused by hardware failure, software bugs, security incidents, account termination, or any other reason whatsoever
- Security Breaches or Hacks: Unauthorized access to your server, account, or data, including breaches caused by vulnerabilities in the Service, third-party services, or user negligence
- User Misuse of Servers: Any consequences arising from how you or anyone with access to your server uses it, including illegal activities, Terms of Service violations with third parties, or harmful actions
- AI Outputs or Errors: Any actions taken by, outputs generated by, or errors made by the AI capabilities, including incorrect information, harmful suggestions, code that causes damage, or any autonomous actions the AI may take
- Payment Processing Issues: Failed payments, double charges, refund disputes, or any issues with Stripe or other payment processors
- Third-Party Service Failures: Any failures, outages, data loss, or issues caused by Hetzner Cloud, Stripe, Telegram, Cloudflare, OpenRouter, or any other third-party service provider
- Indirect, Incidental, or Consequential Damages: Any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses
- Lost Profits: Any loss of revenue, income, profits, or anticipated savings, whether direct or indirect
- Business Interruption: Any disruption to your business, work, or operations caused by the Service or its unavailability
- User Self-Inflicted Damage: Any damage you cause to your own server, data, or systems through your actions or commands, whether intentional or accidental
- Server Content and Activities: Anything you or any third party does with, on, or through your provisioned server
- API Key Exposure or Misuse: Exposure, theft, or misuse of any API keys, credentials, tokens, or secrets stored on or transmitted through your server
- Illegal Activities: Any illegal activities conducted by users on provisioned servers, including but not limited to activities that violate local, national, or international laws
- Network Attacks: DDoS attacks, spam originating from servers, or any network-based attacks originating from or targeting provisioned servers
- Resource Exhaustion: Any issues arising from servers reaching resource limits, running out of storage, or exceeding bandwidth allocations
- Backup Failures: Failure of any backup systems, loss of backups, or inability to restore from backups
MAXIMUM LIABILITY: In any event, our total cumulative liability to you for any and all claims arising out of or related to the Service shall not exceed the amount you have paid to us in the three (3) months immediately preceding the claim, or fifty US dollars ($50.00), whichever is greater.
4 User Responsibilities and Assumption of Risk
You are solely and exclusively responsible for:
- Server Usage and Content: All activities that occur on your provisioned server, all content stored on it, and all actions taken using it
- Legal Compliance: Ensuring your use of the Service and your server complies with all applicable local, state, national, and international laws and regulations
- Data Security: Securing your own data, implementing appropriate security measures, and protecting against unauthorized access
- API Keys and Credentials: Safeguarding all API keys, passwords, tokens, and credentials. We are not responsible for any exposure or misuse
- Backups: Creating and maintaining your own backups of all data, configurations, and files. We do not provide backup services and are not responsible for data recovery
- Account Security: Maintaining the security of your Telegram account and any other accounts used to access the Service
- Third-Party Compliance: Complying with the Terms of Service of Hetzner Cloud, Stripe, Telegram, and any other third-party services you use in connection with the Service
- Acceptable Use: Not using the Service for any illegal, harmful, or abusive purposes
- AI Supervision: Supervising and reviewing all AI outputs and actions. The AI may make mistakes, provide incorrect information, or take unexpected actions
- Resource Management: Managing your server's resources, storage, and bandwidth appropriately
ASSUMPTION OF RISK: By using the Service, you expressly acknowledge and assume all risks associated with cloud computing, AI technology, remote server access, data transmission over the internet, and third-party service dependencies. You understand that servers can fail, data can be lost, security can be compromised, and AI can make errors, and you accept these risks.
5 Payment Terms
Pricing
Current pricing tiers are:
- Basic: $69/month or $16.49/week (4 vCPU, 8GB RAM)
- Standard: $79/month or $19/week (8 vCPU, 16GB RAM)
- Pro: $99/month or $29/week (16 vCPU, 32GB RAM)
Prices are subject to change at any time without notice. Changes will apply to new billing periods.
Billing
- Payments are processed through Stripe. By using the Service, you agree to Stripe's Terms of Service.
- Subscriptions automatically renew at the end of each billing period unless cancelled.
- You are responsible for providing accurate and current payment information.
- Failed payments may result in immediate service suspension or termination.
Refund Policy
ALL PAYMENTS ARE NON-REFUNDABLE. Due to the nature of cloud infrastructure costs incurred upon provisioning, we do not offer refunds for any reason, including but not limited to: dissatisfaction with the Service, server issues, early cancellation, accidental purchases, or unused time.
Cancellation
- You may cancel your subscription at any time through the Service interface or by contacting us.
- Cancellation takes effect at the end of your current billing period.
- No prorated refunds are provided for unused time.
- Upon cancellation, your server and all data will be permanently deleted.
6 Termination and Account Bans
WE RESERVE THE ABSOLUTE AND UNCONDITIONAL RIGHT TO BAN, SUSPEND, OR TERMINATE YOUR ACCESS TO THE SERVICE AT ANY TIME, FOR ANY REASON OR NO REASON WHATSOEVER, WITH OR WITHOUT NOTICE, AT OUR SOLE AND UNFETTERED DISCRETION, AND WITHOUT ANY LIABILITY OR OBLIGATION TO YOU.
Grounds for Termination
We may terminate or ban your account for any reason we deem appropriate, including but not limited to:
- Bad Faith Conduct: Any action we believe, in our sole judgment, constitutes bad faith, dishonesty, manipulation, or abuse of the Service or its policies
- Illegal Activity: Any illegal activity, suspected illegal activity, or activity that we believe may be illegal in any jurisdiction
- Terms Violations: Any violation or suspected violation of these Terms of Service
- Third-Party Terms: Violation of Hetzner, Stripe, Telegram, or any other third-party terms of service
- Harmful Behavior: Any behavior that could harm us, our reputation, other users, third parties, or the Service itself
- Abusive Conduct: Abusive, threatening, harassing, or disrespectful behavior toward staff, support, or other users
- Payment Issues: Payment failures, chargebacks, disputes, or suspected fraudulent payment activity
- Resource Abuse: Excessive or abusive use of server resources, bandwidth, or infrastructure
- Spam or Attacks: Using servers for spam, DDoS attacks, hacking, or any malicious activity
- Reputational Risk: Any activity that we believe poses a reputational risk to us
- Any Other Reason: At our sole and absolute discretion, for any reason whatsoever, including reasons not listed here, or for no reason at all
NO REFUNDS UPON TERMINATION OR BAN: If your account is terminated or banned for ANY reason—whether for cause, without cause, or at our sole discretion—you will NOT receive any refund of any payments made, including prepaid subscription fees, partial month fees, or any other amounts. ALL PAYMENTS ARE FINAL AND NON-REFUNDABLE UPON TERMINATION, REGARDLESS OF THE REASON FOR TERMINATION OR WHO INITIATED IT.
Effect of Termination
- Immediate Deletion: Upon termination or ban, your server will be immediately and permanently deleted along with ALL data stored on it, without any grace period or opportunity to retrieve your data
- No Data Recovery: We are under no obligation to provide any data export, backup, or recovery assistance whatsoever. Your data will be gone permanently.
- No Appeal Required: We are not required to provide any explanation, justification, or appeal process for our termination decision
- Outstanding Charges: You remain fully liable for any outstanding charges, fees, or amounts owed
- No Compensation: You are not entitled to any compensation, damages, or remedy of any kind
- Permanent Ban: We may, at our discretion, permanently ban you from creating new accounts or using the Service in the future
Our Judgment is Final
Our determination of whether conduct constitutes a violation or warrants termination is final and not subject to review or appeal. We are the sole arbiters of what constitutes acceptable use of the Service. If you disagree with our policies or decisions, your sole remedy is to discontinue use of the Service (which you should have done before we banned you).
7 Indemnification
You agree to indemnify, defend, and hold harmless EZClaw, its owners, operators, affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to attorney's fees and legal costs) arising from:
- Your use of the Service
- Your violation of these Terms of Service
- Your violation of any applicable law or regulation
- Your violation of any third-party rights, including intellectual property rights
- Any content you store, transmit, or make available through the Service
- Any actions taken by the AI on your server at your direction or as a result of your configurations
- Any claims by third parties related to your server or its usage
- Any illegal activities conducted on or through your server
This indemnification obligation survives the termination of these Terms and your use of the Service.
8 Governing Law
These Terms of Service and any dispute arising out of or related to the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
You agree that any legal action or proceeding arising out of or related to these Terms or the Service shall be brought exclusively in the federal or state courts located in Delaware, and you hereby consent to the personal jurisdiction and venue of such courts.
9 Dispute Resolution
Mandatory Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.
- The arbitration shall take place in Delaware, United States, or at a location mutually agreed upon.
- The arbitrator's decision shall be final and binding.
- Judgment on the arbitration award may be entered in any court of competent jurisdiction.
- Each party shall bear its own costs and attorney's fees, unless the arbitrator determines otherwise.
Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against us.
Exceptions
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
10 Modification of Terms
We reserve the right to modify, amend, or update these Terms of Service at any time, for any reason, at our sole discretion.
- Changes may be made without prior notice to you.
- The "Last Updated" date at the top of this document will reflect when changes were made.
- Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
- It is your responsibility to review these Terms periodically.
If you do not agree to any changes, your sole remedy is to discontinue use of the Service.
11 Severability
If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect the other provisions of these Terms, which shall remain in full force and effect.
The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent, or if modification is not possible, it shall be severed from these Terms.
12 Entire Agreement
These Terms of Service, together with our Privacy Policy and any other legal notices or policies published on the Service, constitute the entire agreement between you and EZClaw regarding your use of the Service.
These Terms supersede any prior agreements, understandings, or arrangements between you and us, whether written or oral, regarding the Service.
No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
13 Additional Provisions
No Agency
No agency, partnership, joint venture, employer-employee, or franchisor-franchisee relationship is intended or created by these Terms.
Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms at any time without notice.
Force Majeure
We shall not be liable for any failure or delay in performing our obligations due to causes beyond our reasonable control, including but not limited to: natural disasters, acts of God, war, terrorism, riots, civil unrest, government actions, labor disputes, pandemics, power outages, internet outages, or failures of third-party service providers.
Survival
The provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: limitation of liability, indemnification, dispute resolution, and governing law.

Section headings are for convenience only and shall not affect the interpretation of these Terms.
